1.2. Please read these Terms carefully before you start to use our Site or Services. By accessing or using our Site or Services, you indicate that you accept these Terms and that you agree to comply with them. If you do not agree to these Terms, you must not use our Site or Services.

1.3. We recommend that you print or save a copy of these Terms for future reference.

1.4. Our Services primarily involve providing access to online consultations with UK-registered prescribers ("Partner Prescribers") for the assessment and potential prescription of weight loss medications (such as Mounjaro and Wegovy), and facilitating the dispensing and delivery of these medications through our partner pharmacy or our own registered pharmacy.

2. Information About Us

2.1. Our Site is owned and operated by Panmedica Medical Distribution Ltd. ("HeySlim", "we", "us", or "our"). We are a company incorporated in England and Wales under company number 8409943. 2.3. Our Partner Prescribers are registered in the United Kingdom with relevant professional bodies (e.g., General Medical Council, General Pharmaceutical Council) and are qualified to provide remote consultations and issue prescriptions online.

2.4. Medications are dispensed by our pharmacy, Panmedica Medical Distribution Ltd., which is registered with the General Pharmaceutical Council (GPhC) with number 9012739.

3. Other Applicable Terms

3.1. Our Privacy Policy also applies to your use of our Site and Services. This policy sets out the terms on which we process any personal data we collect from you, or that you provide to us.

3.2. If you purchase medications or other products from our Site, specific terms relating to the sale, payment, delivery, and returns will be presented to you during the order process and will form part of your agreement with us.

4. Changes to These Terms

4.1. We may amend these Terms from time to time. Every time you wish to use our Site or Services, please check these Terms to ensure you understand the terms that apply at that time.

4.2. We will notify you of any significant changes to these Terms, for example, by posting a notice on our Site or by emailing you if you are a registered user. Your continued use of the Site or Services after such changes will constitute your acceptance of the new Terms.

7. Accessing Our Site and Eligibility for Services

7.1. Our Site and Services are directed to people residing in the United Kingdom. We do not represent that content available on or through our Site is appropriate for use or available in other locations.

7.2. You must be at least 18 years old to use our Site and to be eligible for our Services. By using our Site and Services, you confirm that you are at least 18 years old.

7.3. To access certain Services, including consultations and prescriptions, you will need to register for an account on our Site.

7.4. If you choose, or you are provided with, a user identification code, password, or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.

7.5. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms.

7.6. If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at support@heyslim.co.uk.

8. Registration and Your Account

8.1. To purchase prescription medications or access consultations, you must register for an account. You agree to provide true, accurate, current, and complete information about yourself as prompted by the registration form and our online health questionnaires.

8.2. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer or device. You agree to accept responsibility for all activities that occur under your account or password.

8.3. It is your responsibility to inform us immediately of any changes to the information you provide by updating your account details.

8.4. We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion, including if we believe that your conduct violates applicable law or is harmful to our interests or the interests of other users, or if a Partner Prescriber deems you unsuitable for treatment.

9. Our Services: Consultations, Prescriptions, and Product Sales

9.1. Online Consultations: Our Site facilitates online consultations with Partner Prescribers. These consultations are based on the information you provide through online questionnaires and any subsequent communications. Partner Prescribers will use their professional medical judgment to assess your suitability for treatment.

9.2. Prescriber's Discretion: Partner Prescribers have full clinical discretion. They may determine that treatment is not appropriate for you, refuse to issue a prescription, or recommend an alternative course of action. We do not guarantee that a consultation will result in a prescription.

9.3. Your Information: You agree to provide truthful, accurate, and complete information during your online health assessment and any consultations. Failure to do so could result in inappropriate treatment and harm to your health. You acknowledge that providing false or misleading information may be a breach of these Terms and could, in some circumstances, constitute an offense.

9.4. Prescription Fulfillment: If a Partner Prescriber issues a prescription, it will be sent to our registered pharmacy or a partner pharmacy for dispensing and delivery, subject to product availability and standard pharmacy checks.

9.5. Not a Replacement for Your GP: Our Services are not intended to replace your relationship with your regular General Practitioner (GP) or other healthcare providers. You should keep your GP informed about any treatment you receive from us, especially if you have ongoing health conditions or are taking other medications. We may, with your consent, communicate with your GP.

9.6. Product Information: Information provided on our Site about medications is for general informational purposes and is not a substitute for professional medical advice. Always read the patient information leaflet supplied with your medication.

9.7. Sales via Shopify: The purchase of medications and any other products or services offered through our Site, including payment processing, may be facilitated through our e-commerce platform powered by Shopify Inc. Your use of these e-commerce features is also subject to Shopify's terms and privacy policies to the extent applicable.

9.8. Communication: All clinical communication between you and a Partner Prescriber should ideally take place via our secure messaging platform. General customer service queries can be directed to support@heyslim.co.uk.

9.9. Electronic Patient Record: By registering, you consent to the creation of an electronic patient record containing your personal details, consultation notes, prescriptions, and communications. This record will be managed in accordance with our Privacy Policy and relevant medical record-keeping obligations.

10. User Obligations and Acceptable Use

10.1. You agree to use our Site and Services only for lawful purposes and in accordance with these Terms.

10.2. You must:

  • Provide accurate, complete, and up-to-date information at all times.
  • Inform your regular healthcare provider about any treatment prescribed through our Services.
  • Only register for an account and complete questionnaires for yourself. Do not attempt to obtain treatment for another person.
  • Ensure you understand all questions asked and information provided. If unsure, consult your regular healthcare provider or contact us for clarification (though we cannot provide medical advice outside of a formal consultation).
  • Check any medication received to ensure it is the correct medication as prescribed and is not damaged. Do not consume medication that appears incorrect or damaged.
  • Read all product packaging and patient information leaflets carefully before use and store medications as directed.
  • Ensure no one else has access to medications prescribed to you.

10.3. You must not use our Site or Services:

  • In any way that breaches any applicable local, national, or international law or regulation.
  • In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.
  • For the purpose of harming or attempting to harm minors in any way.
  • To transmit, or procure the sending of, any unsolicited or unauthorized advertising or promotional material (spam).
  • To knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware, or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.
  • To impersonate any person, or misrepresent your identity or affiliation with any person.

10.4. You also agree not to:

  • Reproduce, duplicate, copy, or re-sell any part of our Site in contravention of these Terms.
  • Access without authority, interfere with, damage, or disrupt any part of our Site, any equipment or network on which our Site is stored, or any software used in the provision of our Site.

10.5. Any content you upload to our Site (e.g., in messages) must be accurate, comply with applicable law, and not be defamatory, obscene, offensive, infringing, or otherwise unlawful. You warrant that any such contribution complies with these standards, and you will be liable to us and indemnify us for any breach of that warranty.

11. Intellectual Property Rights

11.1. We are the owner or the licensee of all intellectual property rights in our Site, and in the material published on it (including text, graphics, logos, images, and software). Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

11.2. You may print off one copy, and may download extracts, of any page(s) from our Site for your personal, non-commercial use only.

11.3. You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences, or any graphics separately from any accompanying text.

11.4. Our status (and that of any identified contributors) as the authors of material on our Site must always be acknowledged.

11.5. You must not use any part of the materials on our Site for commercial purposes without obtaining a license to do so from us or our licensors.

12. Disclaimers and Limitation of Liability

12.1. No Substitute for Professional Medical Advice: The content on our Site is provided for general information only and is not intended to amount to advice on which you should rely in your specific circumstances. It is not a substitute for diagnosis, treatment, or advice from your GP or other qualified healthcare professional. You should always seek the advice of your GP or other qualified health provider with any questions you may have regarding a medical condition.

12.2. Accuracy of Information: While we endeavor to ensure the information on our Site is accurate and up-to-date, we make no representations, warranties, or guarantees, whether express or implied, that the content on our Site is accurate, complete, or up to date.

12.3. Third-Party Links: Where our Site contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them. We have no control over the contents of those sites or resources.

12.4. Liability for Services: Our Partner Prescribers are independently responsible for the clinical advice they provide and the prescriptions they issue. We are responsible for operating the Site and facilitating access to these Services. Our liability for any loss or damage suffered by you as a result of your use of our Site or Services is limited as follows:

  • We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.
  • Different limitations and exclusions of liability will apply to liability arising as a result of the supply of any products to you, which will be set out in any specific terms of sale provided at the time of purchase.
  • We are not liable for business losses. We only supply the Site and Services for domestic and private use. If you use the Site or Services for any commercial, business or re-sale purpose we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
  • We are not liable for any harm, loss, or damage resulting from:
    • Your failure to provide accurate and complete information.
    • Your failure to follow advice given by a Partner Prescriber or your regular healthcare provider.
    • Your failure to pass on information to your regular healthcare provider.
    • The actions or omissions of Partner Prescribers acting in their independent professional capacity.
  • If defective digital content that we have supplied damages a device or digital content belonging to you and this is caused by our failure to use reasonable care and skill, we will either repair the damage or pay you compensation. However, we will not be liable for damage that you could have avoided by following our advice to apply an update offered to you free of charge or for damage that was caused by you failing to correctly follow installation instructions or to have in place the minimum system requirements advised by us.

12.5. To the fullest extent permitted by law, we exclude all implied conditions, warranties, representations, or other terms that may apply to our Site or any content on it.

13. Viruses and Misuse of Our Site

13.1. We do not guarantee that our Site will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programs, and platform to access our Site. You should use your own virus protection software.

13.2. You must not misuse our Site by knowingly introducing viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful.

13.3. You must not attempt to gain unauthorized access to our Site, the server on which our Site is stored, or any server, computer, or database connected to our Site. You must not attack our Site via a denial-of-service attack or a distributed denial-of-service attack.

13.4. By breaching this provision, you would commit a criminal offense under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our Site will cease immediately.

14. Linking to Our Site

14.1. You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

14.2. You must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part where none exists.

14.3. You must not establish a link to our Site in any website that is not owned by you.

14.4. Our Site must not be framed on any other site, nor may you create a link to any part of our Site other than the home page.

14.5. We reserve the right to withdraw linking permission without notice.

14.6. The website in which you are linking must comply in all respects with the content standards set out in our Acceptable Use Policy (Section 10).

15. Governing Law and Jurisdiction

15.1. These Terms, their subject matter, and their formation, are governed by English law.

15.2. You and we both agree that the courts of England and Wales will have exclusive jurisdiction except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are a resident of Scotland, you may also bring proceedings in Scotland.

16. General Provisions

16.1. These Terms and any document expressly referred to in them constitute the entire agreement between you and us in relation to your use of our Site and Services and supersede all previous discussions, correspondence, negotiations, previous arrangements, understandings, or agreements between us relating to the subject matter.

16.2. We may transfer our rights and obligations under these Terms to another organization. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract. You may only transfer your rights or your obligations under these terms to another person if we agree in writing.

16.3. Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining paragraphs will remain in full force and effect.

16.4. If we do not insist immediately that you do anything you are required to do under these Terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.

16.5. No one other than a party to these Terms has any right to enforce any of these Terms.

17.2. For clinical concerns related to advice from a Partner Prescriber, you may also have the right to complain to their relevant professional regulatory body.

18. Emergency Situations

18.1. Our Site and Services are NOT for medical emergencies. If you are experiencing a medical emergency, you should contact your local emergency services immediately (e.g., call 999 or go to your nearest A&E department).

18.2. If you experience any severe side effects from medication, or your condition worsens significantly, seek immediate medical attention from your GP or emergency services.
